Sircol Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you" or "your") and Frontures Management LLC, a California limited liability company ("Sircol," "we," "us," or "our"). They govern your access to and use of the Sircol website at sircol.com, the Sircol web application at app.sircol.com, and any related Sircol products and services (together, the "Services").
By creating an account, signing in, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and your account
You must be at least 18 years old to use the Services. You must provide accurate registration information, keep it current, and keep your password confidential. You are responsible for all activity that occurs under your account. Notify us promptly at hello@sircol.com if you suspect any unauthorized use of your account.
2. The Services in plain English
Sircol is a peer-to-peer trusted search product. It lets you:
- Search across your own connected accounts — for example, your Gmail inbox, your Google Contacts, or LinkedIn People Search composed in your browser.
- Send search requests to people in your network — asking another Sircol user (or, in some flows, a non-Sircol email recipient) to run a specific search against their connected accounts and share back only the results they explicitly approve.
The recipient of a search request is always in control of what gets shared. You only see what the recipient has approved.
3. Beta service
The Services are currently provided in a Beta release. By using the Services during this Beta period, you specifically acknowledge and agree to the following terms, which apply in addition to and override anything else in these Terms to the extent of conflict.
3.1 "As is" and "as available"
The Beta Services are provided strictly on an "as is" and "as available" basis. They may contain defects, errors, bugs, incomplete features, and behaviors that are not finalized. We make no representation that the Services are fit for any particular purpose, reliable, secure, or free of viruses, harmful components, or other defects.
3.2 No service-level agreement
There is no service-level agreement, uptime commitment, or response-time commitment during Beta. The Services may be unavailable, slow, intermittent, or interrupted at any time, with or without notice. Scheduled maintenance, unplanned outages, and feature freezes are all expected to occur.
3.3 The Services may change or end
We may modify, suspend, discontinue, replace, or remove any feature of the Services at any time and for any reason, with or without notice. We may also end the Beta at any time, on any terms we choose, and we may decide not to release a generally available version of all or part of the Services.
3.4 Data may be lost or destroyed
You acknowledge that data you submit to, generate within, or connect to the Services during Beta — including but not limited to search requests, search results, connection metadata, and account preferences — may be lost, corrupted, or destroyed for any reason, including software defects, infrastructure failures, scheduled migrations, or our own intentional resets. We will make reasonable efforts to preserve user data, but we do not guarantee its preservation during Beta. You are responsible for keeping your own copies of anything you would not want to lose.
3.5 Pricing during Beta
Access to the Services is currently offered free of charge. We may begin charging for the Services, or for specific features of the Services, at any time during or after Beta, with reasonable advance notice. Any "Pro" or paid tier currently displayed on the marketing site is an indication of intended pricing, not an active offer; we will obtain your explicit agreement before any charges are made.
3.6 Feedback license
If you provide us with comments, suggestions, bug reports, screenshots, or other feedback about the Services ("Feedback"), you grant Sircol a worldwide, royalty-free, perpetual, irrevocable, sublicensable, transferable, fully paid-up license to use, reproduce, modify, distribute, display, and exploit the Feedback for any purpose, including the right to incorporate the Feedback into the Services or any other Sircol product. You waive any moral rights in the Feedback to the extent permitted by law. You represent that you have the right to grant this license.
3.7 Confidentiality of non-public Beta information
Beta features that we have not yet announced publicly are confidential. If you obtain access to features, designs, performance data, or other non-public information about the Services through your participation in the Beta, you agree not to disclose that information to any third party without our prior written consent. This obligation does not apply to information that is or becomes publicly available through no fault of yours.
3.8 Right to terminate Beta access
We may terminate or suspend your access to the Beta Services at any time, for any reason, with or without notice. Termination of your Beta access does not entitle you to any refund, credit, or other compensation.
4. Acceptable use
You agree that you will not:
- Use the Services in any way that violates any applicable law, regulation, or third-party right.
- Use the Services to send spam, harass, abuse, defame, or harm any person.
- Send search requests, intros, or invitations to recipients in volumes or patterns that constitute mass unsolicited contact under applicable anti-spam law (including CAN-SPAM, CASL, and the EU ePrivacy Directive).
- Attempt to gain unauthorized access to the Services, the underlying infrastructure, or another user's account.
- Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent that applicable law expressly permits despite this restriction.
- Use any automated means (bots, scrapers, headless browsers) to access the Services other than through publicly documented APIs we explicitly provide.
- Use the Services to circumvent any third-party platform's terms of service, including but not limited to LinkedIn's User Agreement. LinkedIn People Search URLs composed by Sircol are intended to be opened and run by the user (or the user's connection) inside their own authenticated LinkedIn session, in compliance with LinkedIn's terms.
- Resell, sublicense, or otherwise commercially exploit the Services without our prior written consent.
We may suspend or terminate your account at our discretion if we believe you have violated this section.
5. Your data and your connected accounts
5.1 Your data
You retain all rights in data you submit to the Services. You grant Sircol a limited, worldwide, royalty-free license to host, store, transmit, display, and process that data solely as necessary to operate, secure, support, and improve the Services for you.
5.2 Connected accounts
The Services let you connect third-party accounts (for example, Gmail via OAuth, Google Contacts via OAuth, or an IMAP-compatible email account). When you connect a third-party account, you authorize Sircol to access that account on your behalf, within the scopes you grant, and you represent that you have the authority to grant that access. Your use of any third-party service is governed by that service's own terms; Sircol is not responsible for changes to third-party services or for any consequences of those changes.
5.3 Security and encryption
We encrypt sensitive credentials at rest (including IMAP passwords and OAuth refresh tokens) using AES-256-GCM, and we apply row-level security policies in our database to scope access to data by user identity. Despite these measures, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
5.4 Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
5.5 LinkedIn searches
Sircol does not connect to, access, scrape, or store data from LinkedIn. When a search includes LinkedIn, Sircol only composes a LinkedIn People Search URL from your search criteria. That URL is opened and run by you (or your connection), inside your own logged-in LinkedIn account, and any results you see are returned directly by LinkedIn under LinkedIn's User Agreement and other applicable LinkedIn terms. Your use of LinkedIn is solely between you and LinkedIn; Sircol is not a party to that relationship and receives no LinkedIn data unless you choose to paste or share it back through the Services.
6. Intellectual property
6.1 Our property
The Services, including all software, designs, text, graphics, logos, trademarks, and selection and arrangement of content (other than user-submitted content), are owned by Sircol or our licensors and are protected by United States and international intellectual property law. Except as expressly granted in these Terms, no rights are granted to you.
6.2 Patents
Sircol practices inventions claimed in U.S. Patents 8,452,803 and 9,092,476 under a license from the patent owner, The Samir Adams Ghosh Living Trust. See /patents.html for our virtual patent-marking notice. Nothing in these Terms grants you any license under those patents.
6.3 Trademarks
"Sircol" and the Sircol wordmark and logo are trademarks of Frontures Management LLC. You may not use them without our prior written consent, except for descriptive references that comply with applicable fair-use and nominative-use rules.
7. Disclaimers
Except as expressly stated in these Terms and to the maximum extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Sircol disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, security, freedom from defects or harmful components, uninterrupted operation, and any warranties arising from course of dealing, course of performance, or usage of trade.
We do not warrant that:
- The Services will meet your requirements.
- The Services will be uninterrupted, timely, secure, or error-free.
- Any data obtained through the Services will be accurate or reliable.
- Defects in the Services will be corrected.
This Section 7 applies to the maximum extent permitted by applicable law. During Beta, the warranty disclaimers in Section 3 (Beta service) apply in addition to this section.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- In no event will Sircol, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
- Our aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amounts you paid Sircol for the Services in the twelve (12) months preceding the event giving rise to the liability.
These limitations apply regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise) and apply to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the smallest extent permitted by law.
9. Indemnification
You agree to defend, indemnify, and hold harmless Sircol and its affiliates, officers, directors, employees, agents, and licensors from and against any claim, demand, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or any right of any third party; or (d) any content or data you submit, send, or connect to the Services.
10. Term and termination
10.1 Term
These Terms apply from the moment you first use the Services and continue until terminated.
10.2 Termination by you
You may stop using the Services and delete your account at any time. You can request account deletion by emailing hello@sircol.com. We will delete or anonymize your personal information consistent with our Privacy Policy and applicable law.
10.3 Termination by us
We may suspend or terminate your access to all or part of the Services at any time, with or without notice, including for violation of these Terms, for security reasons, or because we are ending the Beta or discontinuing all or part of the Services.
10.4 Effect of termination
Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive — including the Feedback license, confidentiality of non-public Beta information, intellectual property, disclaimers, limitation of liability, indemnification, and governing law and disputes — survive termination.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Effective date" and the version string at the top of this document. If the changes are material, we will notify you by email or by an in-product notice, and we will require you to re-acknowledge the updated Terms before continuing to use the Services. Your continued use of the Services after a non-material update constitutes your acceptance of the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Services is the courts located in San Francisco County, California, United States, and you and Sircol consent to the personal jurisdiction of those courts. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
13. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sircol regarding the Services and supersede any prior or contemporaneous agreements on the same subject.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
- No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
- Notices. We may provide notices to you by email, by posting on the Services, or by any other reasonable means. You should send notices to us at the address below.
